Assistant Legal & Company Secretary

Our Legal & Co Sec team is looking to hire an Assistant Legal & Company Secretary to provide professional corporate administrative support to our group of companies including the production of board / committee meeting packs and minute taking.  This role would suit an administrative assistant or paralegal, ideally within the insurance sector, interested in pursuing a career in the Co Sec / Corporate Governance arena. You would join a team of 5 within a larger Legal Department to perform a range of duties including minuting board / committee meetings; liaising with directors on action points; arranging director training and annual evaluations; producing materials for auditors; and managing the companies’ statutory records and company registry filings.

Knowledge and Experience:

  • Ability to work with Microsoft Office Suite products including SharePoint and Teams
  • Knowledge of Diligent or other board management software preferred but not essential
  • Experience in preparing meeting packs and minute taking required, preferably at senior / executive level
  • Prior experience working in or with the insurance sector preferred
  • High level of integrity and discretion with confidential information
  • Excellent written and spoken communication skills
  • Excellent organisation, time management and attention to detail

Day to Day duties include:

  • Assists the Co Sec with preparing the annual Board plan / agenda and training schedule
  • Ensures meeting packs are properly formatted with summary cover memo, that missing materials are explained, and issued on Diligent
  • Takes accurate and succinct meeting minutes and matters arising for board / committee meetings and ensures attendance is logged and reported in a timely manner
  • Updates Resolution Tracker and assists in the preparation of resolutions as requested
  • Maintains and updates Conflict of Interest register and other registers and logs
  • Organises training for Board / committee and prepares materials
  • Files statutory accounts, declarations, and related regulatory filings in a timely manner
  • Maintains hard copy and electronic statutory books and records and internal files
  • Issues Board / Committee Evaluations and tracks completion
  • Ensures all Co Sec policies and procedures and related Corporate Governance materials are published on Pulsar in a timely manner
